The Senior Legal Counsel is a trusted advisor and senior deputy to the General Counsel, Canada, partnering with senior leaders to enable business growth, manage enterprise risk and support the achievement of strategic objectives across the organization.

The role leads complex, high-value commercial transactions and complex partnerships, enabling business objectives while managing legal, regulatory, compliance and reputational risk in a highly regulated healthcare environment.

As Senior Legal Counsel, you will be responsible for:


* Leading the legal strategy, structuring, negotiation and execution of complex commercial transactions involving medical devices, digital solutions, software, services, consumables, research collaborations and strategic partnerships.


* Directing complex public- and private-sector sales transactions, including RFx negotiated procurements and other strategic sourcing initiatives involving hospitals, government entities and group purchasing organizations, from initial strategy and risk assessment through drafting, negotiation, internal approvals, execution, implementation and post-signing matters.


* Developing practical transaction structures, negotiating positions and risk-mitigation strategies that support business objectives while appropriately managing legal risk and protecting the company's long-term interests.


* Drafting, reviewing and negotiating material and non-standard contractual terms, including liability, indemnities, warranties, service levels, cybersecurity, privacy, intellectual property, regulatory obligations and termination rights.


* Advising Sales, Finance, Service, Procurement and senior leadership on legal, regulatory, compliance and reputational risk, commercial trade-offs, recommended courses of action, key business decisions and approval requirements in clear, practical terms.


* Providing strategic, practical and risk-based advice on Canadian healthcare, privacy, cybersecurity, competition, corporate, regulatory and compliance matters.


* Providing independent, business-oriented legal counsel and constructive challenge when proposed approaches create disproportionate legal, regulatory, compliance or reputational risk.


* Serving as a senior legal advisor on significant matters involving hospitals, group purchasing organizations, government entities, private clinics and other public- and private-sector customers and partners.
